These Terms & Conditions (“Terms”) govern your use of this website and the purchase of products from PowerPlusPart (“Company,” “we,” “us,” or “our”). By accessing this website or placing an order, you agree to be bound by these Terms.
Products Sold
PowerPlusPart sells OEM (Original Equipment Manufacturer) automotive parts, including both new and used parts. Product descriptions, part numbers, and condition are provided to the best of our knowledge but may contain minor errors or omissions.
Vehicle Compatibility & Buyer Responsibility
It is the buyer’s sole responsibility to verify compatibility with their vehicle, including make, model, year, trim, engine, transmission, and any modifications. PowerPlusPart does not guarantee fitment unless expressly stated in writing.
Used Parts Disclosure
Used parts may show normal wear consistent with prior use. Cosmetic imperfections or signs of prior installation do not constitute defects.
Disclaimer of Warranties
All products are sold “AS IS” and “AS AVAILABLE,” unless otherwise stated in writing. To the fullest extent permitted by law, PowerPlusPart disclaims all express or implied warranties, including merchantability and fitness for a particular purpose. Any manufacturer's warranty is provided solely by the manufacturer.
Installation Disclaimer
Certain parts require professional installation. PowerPlusPart is not responsible for damage, injury, or loss resulting from improper installation or failure to follow manufacturer instructions. Professional installation is strongly recommended.
Assumption of Risk
Automotive parts may affect vehicle performance, safety systems, and operation. The buyer assumes all risks associated with installation, use, and continued operation of the vehicle.
Limitation of Liability
To the fullest extent permitted by law, PowerPlusPart shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of vehicle use, towing costs, or repair costs. Total liability shall not exceed the amount paid for the product, giving rise to the claim.
No Liability for Vehicle Damage
PowerPlusPart is not liable for damage to vehicles or components arising from the use or installation of any product.
Indemnification
You agree to indemnify and hold PowerPlusPart harmless from any claims arising from your purchase, installation, use, or resale of products.
Governing Law
The laws of the United States govern these Terms, and to the extent applicable, the laws of the State of Michigan, without regard to conflict of laws principles.
Dispute Resolution
Disputes must first be addressed informally by contacting info@powerpluspart.com. If unresolved, disputes shall be resolved through binding arbitration in Michigan, under the rules of the American Arbitration Association. Class actions are waived.
Entire Agreement
These Terms constitute the entire agreement between you and PowerPlusPart regarding your purchase and use of the website.
Severability & Survival
If any provision is unenforceable, the remaining provisions remain in effect. Warranty disclaimers, limitation of liability, indemnification, governing law, and dispute resolution survive termination.
Business, Wholesale & Commercial Purchases (B2B)
Definition of Business Buyer
For purposes of these Terms, a “Business Buyer” or “Wholesale Buyer” includes any purchaser buying products for resale, commercial use, fleet use, repair services, installation for third parties, or any non-personal, non-consumer purpose, including but not limited to automotive repair shops, dealerships, resellers, exporters, and fleet operators.
No Consumer Protections for Business Buyers
Business Buyers acknowledge and agree that purchases are made for commercial purposes and not for personal, household, or consumer use. Accordingly, consumer protection laws applicable to individual consumers may not fully apply to Business Buyers permitted by law.
Wholesale Orders Final Sale
All wholesale and business-to-business sales are final sales, unless otherwise expressly agreed to in writing by PowerPlusPart. Wholesale orders are not eligible for returns, refunds, or exchanges, except where required by law or due to a verified seller error.
No Reliance on Descriptions or Advice
Business Buyers acknowledge that they are knowledgeable professionals in the automotive field and are not relying on any representations, advice, recommendations, or guidance from PowerPlusPart regarding product selection, fitment, installation, or application.
Inspection & Acceptance of Goods
Business Buyers are responsible for inspecting all products immediately upon receipt. Any claims for shortages, shipping damage, or incorrect items must be reported within 24 business hours of delivery. Failure to notify within this timeframe constitutes acceptance of the goods as delivered.
No Warranty for Commercial Use
To the fullest extent permitted by law, all products sold to Business Buyers are provided “AS IS” and without warranty, including any implied warranties of merchantability or fitness for a particular purpose. Manufacturer warranties, if any, are governed solely by the manufacturer’s terms and may exclude commercial use.
Limitation of Liability for Business Buyers
To the fullest extent permitted by law, PowerPlusPart shall not be liable to any Business Buyer for loss of profits, loss of business, downtime, labor costs, loss of contracts, or indirect or consequential damages arising from the purchase, installation, resale, or use of any product.
Chargebacks & Payment Disputes (Very Important)
Business Buyers agree not to initiate chargebacks or payment disputes without first contacting PowerPlusPart to attempt resolution. Unauthorized chargebacks may result in suspension or termination of wholesale or business accounts.
Resale & Export Responsibility
Business Buyers are solely responsible for compliance with all applicable laws and regulations related to resale, export, emissions, safety standards, labeling, and vehicle application in their jurisdiction.
Termination of Wholesale Accounts
PowerPlusPart reserves the right to suspend or terminate any business or wholesale account for violations of these Terms, suspected fraud, excessive disputes, or misuse of products.
